Terms of Service

1. Acceptance of Terms

By accessing or using the Politxt platform ("Service") operated by Stratos Dynamic Technologies LLC ("Company," "we," "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including organizations and their authorized agents.

2. Description of Service

Politxt provides a campaign messaging platform that includes 10DLC brand and campaign registration, SMS/MMS messaging, contact management, compliance tools, analytics, and related services. The Service is designed for lawful political campaign communications and other permitted messaging use cases.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorized access. One individual may not maintain more than one account without prior written approval.

4. Messaging Compliance

You agree to comply with all applicable laws and regulations when using our messaging services, including but not limited to:

TCPA: The Telephone Consumer Protection Act. You must obtain proper consent before sending messages. You are solely responsible for maintaining consent records.

CTIA Guidelines: All messages must comply with CTIA Short Code Monitoring Program guidelines and best practices for messaging.

10DLC Requirements: You must accurately register your brand and campaigns with The Campaign Registry (TCR). Misrepresentation of your brand or use case is grounds for immediate termination.

Opt-Out Handling: You must honor all opt-out requests immediately. Our platform automatically processes STOP requests, and you must not message contacts who have opted out.

5. Prohibited Uses

You may not use the Service to:

Send unsolicited messages (spam) or messages without proper consent.

Send content that is illegal, threatening, harassing, defamatory, or obscene.

Impersonate any person or entity, or misrepresent your affiliation.

Transmit malware, phishing links, or fraudulent content.

Violate any applicable local, state, national, or international law.

Interfere with or disrupt the Service or its infrastructure.

Resell or redistribute the Service without prior written consent.

6. Credits and Payment

The Service operates on a credit-based system. Credits are purchased in advance and deducted per message sent. SMS messages cost 1 credit per 160-character segment. MMS messages cost 3 credits.

Credits are non-refundable except as required by law or at our sole discretion. We reserve the right to change pricing with 30 days notice to active accounts.

Failed messages due to invalid numbers or carrier rejection still consume credits, as carrier fees are incurred regardless of delivery status.

7. Phone Numbers

Phone numbers provisioned through our Service are leased, not owned. We reserve the right to reclaim numbers that are inactive for more than 90 days. You may not use numbers for voice calls unless explicitly supported. Number availability and pricing are subject to carrier terms.

8. Data Ownership

You retain ownership of all contact data and message content you upload or create through the Service. We claim no ownership over your data. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service. Upon account closure, your data will be deleted within 30 days.

9. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by carrier outages, third-party service failures, or force majeure events.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation, including TCPA violations and carrier fines resulting from your messaging activity.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, particularly for messaging compliance violations. You may close your account at any time by contacting support. Upon termination, your right to use the Service ceases immediately. Unused credits are forfeited upon termination for cause.

13. Modifications

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
